TALENT/ EVENT JUDGE ENGAGEMENT AGREEMENT THIS AGREEMENT for the personal services at the engagement described below is Made this May 5th, 2008 by and between Indie Film Exchange, Inc. on behalf of World Series of Hip Hop (collectively herein called “Purchaserâ€) and ______________ The undersigned Talent/Event Judge. Now therefore, parties hereto, in consideration of mutual covenants contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, and intending be legally bound hereby, agrees as follows: Description of Event: Rap / Dance Battle Tournament Place of Engagement: Georgia World Congress Center Address: 285 Andrew Young International Blvd., NW Atlanta, Georgia 30313 Date of Event: Tuesday, August 5th thru Saturday, August 9th 2008 Description of Service: Event Judge the Rap / Dance Talent Battle Tournament Showtime: TBD Offered Fee: One Thousand Dollars ($1,000) per day, Plus air and ground travel and lodging accommodations. *A fifty percent (50%) deposit is to be paid thirty (30) days prior to the event date not later than July 5th 2008 upon signing this agreement. *Final (50%) payment will be giving to the hired event Judge and a event itinerary upon arrival at the hotel in Atlanta, GA on August 5th 2008. *All hired Judges MUST be available for three (3) or four (4) days not exceeding five (5) depending on the tournament and if asked to stay another day. Talent hereby agrees to Judge any event assigned in accordance with the rules and regulations as set forth by World Series of Hip Hop. Talent hereby agrees not to perform any action in the nature of, tampering, unauthorized intervention, fraud, technical failures, or any other action which may corrupt or affect the administration, security, fairness, integrity, or proper conduct of this tournament, World Series of Hip Hop reserves the right at its sole discretion to cancel, terminate, modify or suspend the engagement of Talent for any action or conduct threatening the integrity of the tournament. Talent hereby consent and grant to World Series of Hip Hop and it’s assigns and/or affiliates permission (1) to take photographs and record the voice of the Talent in connection with the World Series of Hip Hop Tournament, (2) to put the finished pictures, negatives, reproductions and copies or the original prints and negatives of the Talent and any sound track recordings of the Talent’s voice, the Talent’s name, or likeness, (collectively “Tangible and Intangible Itemsâ€), in televised or DVD exhibition of event and (3) to use said Tangible and Intangible Items in any manner deemed proper by World Series of Hip Hop so long as such use is in connection with the exhibition, advertising, promotion, distribution and/or exploitation of said Event.
